Welcome to MorphMind! These Terms of Service ("Terms") govern your use of our website, applications, and services (collectively, the "Services") operated by AIScientists Inc. By accessing or using our Services, you agree to comply with these Terms. If you do not agree, please do not use our Services.

1. Acceptance of Terms

By accessing, browsing, or using MorphMind.ai or any of our associated services, you confirm that you have read, understood, and agreed to these Terms. We reserve the right to update these Terms at any time without prior notice. Your continued use of our Services after such modifications constitutes your acceptance of the revised Terms. It is your responsibility to review them periodically.

2. Eligibility

To use our Services, you must be at least 18 years old or have legal parental or guardian consent. By using MorphMind.ai, you represent and warrant that you meet these requirements and that you have the legal capacity to enter into binding contracts.

3. Use of Services

You agree to use MorphMind.ai only for lawful purposes and in accordance with these Terms. You shall not:

  • Use our Services for fraudulent, harmful, deceptive, or illegal activities
  • Attempt to disrupt, damage, or interfere with our platform or circumvent any security measures
  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to access data not intended for you or test the vulnerability of our systems
  • Engage in excessive usage that may negatively impact other users or our infrastructure

4. User Accounts

If you create an account on MorphMind.ai, you are responsible for:

  • Maintaining the confidentiality and security of your login credentials
  • All activities that occur under your account
  • Providing accurate and complete information when creating your account
  • Promptly updating any changes to your information
  • Notifying us immediately of any unauthorized access or security breaches

We reserve the right to disable any user account if we believe you have violated these Terms.

5. Intellectual Property

All content, trademarks, patents, service marks, and proprietary information on MorphMind.ai, including but not limited to text, graphics, software, logos, and algorithms, are owned by AIScientists Inc. or its licensors.

You may not:

  • Copy, reproduce, or distribute any content without our express written permission
  • Modify, create derivative works, or reverse engineer our Services
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use our name, logo, or trademarks without our prior written consent

Limited license:
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for their intended purposes.

6. User Content

You retain ownership of any content you submit, post, or display on or through our Services ("User Content").

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing our Services.

You represent and warrant that:

  • You own or have the necessary rights to the User Content you provide
  • Your User Content does not violate the rights of any third party
  • Your User Content complies with these Terms and all applicable laws

We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason.

AI-Generated Content

Our Services include features that generate text, audio, code, and other content using artificial intelligence — including but not limited to MorphPod voice conversations, AgentLab agent responses, and AI assistant chats. By using these features, you acknowledge and agree to the following:

AI may be wrong. AI-generated content can be inaccurate, incomplete, biased, or out of date. Do not rely on it for medical, legal, financial, safety-critical, or professional advice. Always verify important facts through authoritative sources and qualified human experts.

No professional advice. Our AI features do not provide and are not a substitute for professional advice. If you are facing a medical emergency, legal matter, financial decision, mental-health crisis, or any safety-critical situation, contact a qualified human professional or, in an emergency, your local emergency services.

Prohibited uses. You agree not to use our AI features to:

  • Generate content that depicts minors in any sexual context;
  • Generate content that incites violence, terrorism, hatred, or unlawful discrimination;
  • Produce malicious code, phishing material, or other content designed to harm computer systems, networks, or users;
  • Impersonate real people without consent in a way that would deceive a reasonable person, including for fraud or harassment;
  • Generate content that infringes intellectual property, violates privacy, or violates applicable export-control or sanctions laws;
  • Make medical, legal, financial, or safety-critical decisions on behalf of others without independent human review;
  • Circumvent our safety mechanisms, content filters, rate limits, or attempt to extract our prompts or training data;
  • Use any voice generated by our Services to deceive, harass, defame, or impersonate any individual.

Reporting bad responses. If MorphPod or any other AI-generated response is harmful, inaccurate, offensive, or otherwise inappropriate, please report it. Inside MorphPod: open Settings → Send feedback and choose "Report a response." Anywhere else: email [email protected] with the conversation context. We review every report and may remove content, suspend offending accounts, or update safety mechanisms in response.

Moderation and enforcement. We use a combination of automated classifiers and human review to detect and prevent prohibited uses. We may, without notice: filter or refuse to generate certain content, end an active session, suspend or terminate accounts, and cooperate with law enforcement when legally required. Accounts that repeatedly attempt prohibited uses or that submit abusive reports may be banned.

Block specific specialists. Inside MorphPod, you may remove any specialist from your active team at any time via Settings → Specialists, which prevents that specialist from speaking in future sessions.

Audio handling. During an active MorphPod session, your microphone audio is streamed in real time to the third-party AI infrastructure provider that powers the conversation. We do not retain that audio after the session ends. After a session ends we generate a short text summary and discard the raw transcript. You can delete any session at any time via Settings → Privacy & Data → Delete sessions, which removes our stored summary. The identity of our current AI infrastructure provider(s) is listed in our Privacy Policy.

No expectation of confidentiality. Conversations with our AI Services may be reviewed by our automated safety systems and, in rare cases involving suspected prohibited use, by human reviewers under strict access controls. Do not submit information you would not want potentially reviewed under these limited circumstances.

7. Subscription and Payments

Some of our Services may require payment or subscription. By subscribing to paid Services:

  • You agree to pay all fees and charges associated with your account on a timely basis
  • You authorize us to charge your designated payment method
  • You acknowledge that prices and features may change
  • You understand that subscriptions automatically renew unless canceled prior to the renewal date

Refunds are handled in accordance with our Refund Policy available on our website.

8. Desktop Application

If you use the MorphMind desktop application ("Desktop App"), the following additional terms apply:

Local file access. The Desktop App operates within a workspace folder you select on your computer. AI agents may read, create, modify, and delete files within this folder as part of normal operation. You are solely responsible for selecting an appropriate workspace folder and for maintaining backups of any important files.

Code execution. The Desktop App may execute code, scripts, and commands on your local machine as directed by AI agents. These operations use your local resources (CPU, GPU, installed software) and run with your user-level system permissions.

Your responsibility. You acknowledge that:

  • AI agents may produce unexpected results, including unintended file modifications or deletions
  • You should review agent actions and maintain independent backups of important data
  • Local operations are performed at your own risk
  • We are not responsible for any changes to files, data loss, software conflicts, or system issues arising from agent operations on your local machine

No warranty for local operations. Local file operations and code execution are provided "as is." We do not guarantee that agent actions will be error-free, safe for your specific environment, or compatible with your local software and configurations.

9. Limitation of Liability

MorphMind.ai provides its Services "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our Services will always be secure, error-free, or available.

To the maximum extent permitted by law, we are not liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Any damages related to hacking, viruses, or security breaches
  • Any loss, corruption, or unintended modification of local files resulting from Desktop App operations
  • Damages exceeding the amounts paid by you to us in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for certain damages, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless AIScientists Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses—including reasonable attorneys' fees—arising out of or in any way connected with:

  • Your access to or use of our Services
  • Your violation of these Terms
  • Your infringement of any third-party rights

11. Termination

We reserve the right to suspend or terminate your access to MorphMind.ai and its associated services at any time, with or without cause and with or without notice.

Upon termination:

  • Your right to access and use our Services will cease immediately
  • We may delete your account and all associated data
  • Any provisions of these Terms that by their nature should survive termination shall survive

12. Governing Law

These Terms shall be governed and interpreted under the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts located in Delaware.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions will continue in full force and effect.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, if appropriate, by email. Your continued use of our Services after such modifications constitutes your acceptance of the revised Terms.
